1. The agreement
These terms are an agreement between you and Xenon Information Technology (“we”, “us”) for the use of Xenon Social’s dashboard, API and hosted pages (the “Service”). If you use the Service for an organization, you accept these terms on its behalf and confirm you’re authorized to do so. If you don’t agree, don’t use the Service.
2. The Service
Xenon Social lets you connect social media accounts, compose and schedule posts, have them approved by your team, and publish them to Instagram, Facebook, Threads and LinkedIn, from the dashboard or through our API. It also shows statistics for the posts it publishes and the accounts you connect. Features we describe as “coming soon” aren’t part of the Service until we release them to you. Early-access features, such as Xenon Listening for the workspaces we invite to try it, are provided as they are, for evaluation.
3. Your account
- You must be at least 16 and able to form a binding contract to use the Service.
- Before you use the dashboard, we ask you to accept these terms and our Privacy Policy. You can’t use the dashboard until you do, and we keep a record of your acceptance.
- Keep your sign-in details and API keys secure. You’re responsible for activity under your account and keys.
- Organization owners and admins control who can access their workspaces and what each member can do, and are responsible for the members they invite.
- Tell us promptly at info@tech-xenon.com if you suspect unauthorized use.
4. Your content
You keep ownership of everything you upload, write or publish through the Service (“your content”). You give us a limited license to host, process, adapt (for example, resizing or converting media for a network) and transmit your content, only to provide the Service to you, including publishing it to the accounts and at the times you or your team choose.
You’re responsible for your content and confirm you have the rights needed to publish it, and that it complies with the law and with each network’s rules.
5. Social networks
Instagram, Facebook, Threads and LinkedIn are third-party services with their own terms, which also apply to you when you publish to them. By connecting an account, you authorize us to act on that account as you direct: to read the profile details needed to connect it, to publish the content you or your team schedule, to read the statistics the network provides for the account and for posts published through Xenon Social, including its follower count each day, and, if your workspace uses Xenon Listening, to read the comments and mentions the account receives (and, for a Threads profile, to search public Threads posts for your workspace’s topics). Xenon Social uses YouTube API Services for Xenon Listening: YouTube channels are connected with read-only access, and nothing is published to YouTube. By using the Service’s YouTube features, you agree to be bound by the YouTube Terms of Service. We remind you of this before you connect a YouTube channel.
These networks control their own APIs and can change features, limits or eligibility, or suspend access, at any time. We aren’t responsible for their availability, decisions or content, and some features may change or stop working as a result. Statistics are what each network reports to us, and can be late, incomplete or unavailable.
6. Acceptable use
You agree not to use the Service to:
- publish spam, or content that is unlawful, deceptive, infringing or harmful;
- harass, threaten or impersonate anyone, or mislead people about who you are;
- violate any social network’s terms, policies or rate limits;
- distribute malware or attempt to gain unauthorized access to any system or account;
- probe, scan or test the Service’s security, or disrupt it, without our written permission;
- use Xenon Listening, or the posts and comments it collects, for surveillance (including for law enforcement or national security purposes), to track or profile individuals, to discriminate against anyone, or to make decisions about people’s eligibility for jobs, housing, credit, insurance or government benefits;
- copy, resell or reverse engineer the Service, except where the law expressly allows it.
7. The API
If we give you API access, keep your keys confidential, stay within the rate limits and documented behavior, and only use the API for the integrations you’ve told us about. You’re responsible for the applications you build on it and for how they treat your users’ data. We may revoke keys that are compromised or misused.
8. Fees
If any part of the Service is subject to fees, we’ll agree them with you separately before they apply. Prices we publish for plans that aren’t on sale yet are for information only and aren’t an offer.
9. Changes and availability
We improve the Service continuously and may add, change or remove features. We work to keep the Service available and to publish on time, but we don’t guarantee uninterrupted operation, and scheduled posts may be delayed or fail, for example because a network is unavailable or rejects a post. The Service shows the status of every post so you can act.
10. Suspension and termination
You can stop using the Service at any time and ask us to delete your data as described on our data deletion page. We may suspend or end your access if you breach these terms, if required by law or by a social network, or to protect the Service or others. Where reasonable, we’ll give notice first.
11. Disclaimers
To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
Xenon Listening’s AI labels are generated automatically and may be inaccurate. Don’t rely on them without checking them yourself.
12. Limitation of liability
To the extent permitted by law, we won’t be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim and US$100. Nothing in these terms limits liability that can’t be limited by law.
13. Indemnity
You’ll defend and indemnify us against third-party claims arising from your content, your use of the Service in breach of these terms, or your violation of a social network’s terms.
14. Changes to these terms
We may update these terms. We’ll post the new version here with a new date and, for significant changes, tell you before they take effect. When we update them, the dashboard asks you to accept the new version, and you can’t keep using it until you do. If you don’t accept, you can sign out and ask us to delete your data. API keys and hosted connection pages don’t ask, so continuing to use them after the change means you accept the updated terms.
